FRANCHISE AGREEMENT & TERMS OF SERVICE
XL COMPUTER TRAINING INSTITUTE (XLCTI)

IMPORTANT: BY REGISTERING, CLICKING "I AGREE", OR USING THIS SYSTEM, YOU AGREE TO ALL TERMS BELOW.
1. PARTIES & DEFINITIONS
"XLCTI/Master Admin/Company" = XL Computer Training Institute, Lucknow, UP, India.
"Institute/Franchisee/You" = the applicant registering on this platform.
"Platform" = XLCTI Franchise Management System at xlcti.com/tp
"Wallet" = Virtual ledger balance maintained by XLCTI on behalf of Institute.
"Commission" = XLCTI share per student admission as defined per approved course.
2. REGISTRATION & APPROVAL
2.1 Registration does NOT guarantee franchise approval.
2.2 XLCTI reserves sole right to approve/reject any application without reason.
2.3 XLCTI may revoke approval at any time for any reason.
2.4 False information submitted is grounds for immediate termination without refund.
2.5 XLCTI may conduct physical verification of institute premises at any time.
3. INTELLECTUAL PROPERTY
3.1 XLCTI name, logo, brand, curriculum, question banks, exam content, certificate designs are EXCLUSIVE IP of XLCTI.
3.2 Institute gets LIMITED, NON-EXCLUSIVE, REVOCABLE license to use XLCTI branding for approved franchise activities only.
3.3 Institute MUST NOT copy, reproduce, or distribute XLCTI material outside this Platform.
3.4 All student data entered remains under XLCTI custodianship. Institute has access rights only, not ownership.
4. DATA OWNERSHIP & PRIVACY
4.1 XLCTI owns all data stored on this Platform including student records, payment records, exam results.
4.2 Upon termination, Institute may request ONE-TIME export within 30 days. After that, access permanently revoked.
4.3 Institute is responsible for obtaining consents from students as required by applicable laws.
5. FINANCIAL TERMS & WALLET
5.1 FIRST RECHARGE: Minimum Rs.2,000 required before panel activation.
5.2 All student payments (exam fees, etc.) via Razorpay go DIRECTLY to XLCTI account.
5.3 XLCTI credits Institute wallet with Institute share within 7 working days.
5.4 COMMISSION auto-deducted from Institute wallet upon each student admission.
5.5 If wallet balance insufficient, admission will be blocked until recharged.
5.6 WALLET BALANCE IS NOT REFUNDABLE except at XLCTI discretion.
5.7 Withdrawal: Minimum Rs.1,000. Processed within 7-15 working days. TDS deducted as applicable.
5.8 XLCTI may change commission rates with 30 days notice.
6. COURSE APPROVAL
6.1 No course may be offered without PRIOR WRITTEN APPROVAL from XLCTI.
6.2 XLCTI may reject or withdraw course approval at any time.
6.3 Institute must maintain minimum faculty and infrastructure standards.
7. CERTIFICATES
7.1 Certificates issued through this Platform are under XLCTI authority.
7.2 XLCTI may revoke any certificate if fraud is proven.
7.3 Certificate numbers are generated and owned by XLCTI.
8. SUSPENSION & TERMINATION
8.1 XLCTI may SUSPEND immediately without notice for: fraud, zero wallet balance, serious complaints, IP violations.
8.2 XLCTI may TERMINATE with 30 days notice for persistent non-compliance.
8.3 Upon termination: Unique ID invalidated, issued certificates remain valid, branding use must cease immediately.
8.4 NO REFUND of wallet balance if terminated for breach.
9. LIMITATION OF LIABILITY
9.1 XLCTI liability limited to 12 months commission paid by Institute.
9.2 XLCTI NOT liable for loss of business, platform downtime, payment gateway failures, SMS delivery failures.
10. INDEMNIFICATION
Institute shall indemnify XLCTI from all claims arising from Institute use of Platform, violation of terms, or disputes with students.
11. DISPUTE RESOLUTION
11.1 Disputes resolved by arbitration under Arbitration & Conciliation Act 1996.
11.2 Seat of arbitration: Lucknow, Uttar Pradesh, India.
11.3 XLCTI may seek injunctive relief from courts for IP violations.
12. GOVERNING LAW
This Agreement is governed by laws of India. Courts at Lucknow, UP have exclusive jurisdiction.
13. AMENDMENTS
XLCTI may amend terms with 15 days notice via in-platform notification. Continued use = acceptance.
14. ACKNOWLEDGMENT
BY CHECKING "I AGREE": You confirm you have READ and UNDERSTOOD these terms. You confirm you are AUTHORIZED to bind your Institute. Your IP address, timestamp, and digital signature are recorded as legal proof of acceptance.
